Limited company vs umbrella company: which one actually suits you?

If you’re contracting, especially through an agency, you’ve probably been asked this question already: limited company or umbrella? They solve the same basic problem, getting paid for contract work, in very different ways.

How an umbrella company works

You become an employee of the umbrella company. They invoice your client or agency, deduct tax and National Insurance through PAYE like any employer would, and pay you a wage. No company to run, no Companies House filings, no year end accounts. It’s the low admin option, and it’s often the right one for shorter contracts or people who want zero paperwork.

How a limited company works

You own and run your own company, invoice through it, and pay yourself via salary and dividends. More admin, an accountant to manage, statutory filings to keep on top of. In exchange, you generally have more control over how and when you extract money, which can mean a better take-home, particularly outside IR35.

The IR35 question decides a lot of this

If a contract is inside IR35, meaning HMRC would consider you effectively an employee of the end client in all but name, the tax advantage of a limited company mostly disappears. In that situation, an umbrella company often makes more sense simply because it removes the admin without losing much financially. Outside IR35, a limited company usually comes out ahead.

Which suits you

Short-term or occasional contracting, especially inside IR35: umbrella, less hassle for similar take-home. Longer term contracting outside IR35, or you’re building toward a broader business rather than just one client: limited company. Not sure which category you’re in?
